By submitting listing content (including descriptions, logos, images, and links), you grant CX Tools Directory a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content on and in connection with the Service for as long as your listing is active.
Vendor warrants accuracy: You are solely responsible for the accuracy of the information you submit. You warrant that all descriptions, feature claims, pricing details, and other listing content are truthful, current, and not misleading. CX Tools Directory is not responsible for verifying the accuracy of vendor-submitted content and will not be liable for any inaccuracies.
Right to edit: CX Tools Directory may edit, summarise, reformat, or reposition listing content for length, tone, accuracy, consistency, or style at its discretion. We will make reasonable efforts to reflect the vendor's intent, but editorial decisions rest with CX Tools Directory.
Vendor IP indemnity: You warrant that all content you submit (including logos, screenshots, descriptions, and links) does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. You agree to indemnify, defend, and hold harmless CX Tools Directory from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to your submitted content, including claims of trademark, copyright, or patent infringement.
No performance guarantee: CX Tools Directory does not guarantee any specific level of traffic, clicks, leads, conversions, or other results from a listing. Listing performance depends on many factors outside our control, including market demand, category competition, and buyer behaviour. No refund or credit is owed based on listing performance.
Right to refuse or reject: CX Tools Directory may decline to publish or continue any listing at its sole discretion, regardless of payment. If a listing is rejected before publication, any fees paid will be refunded. If a listing is removed after publication due to a violation of these Terms, inaccurate content, or conduct concerns, no refund is owed.
Listing removal on request: A vendor may request removal of their listing at any time by contacting us. We will process the request and remove the listing from the directory. Search engine caches and archived versions may retain the content for a period after removal, which is outside our control.
Vendor handles buyer disputes: CX Tools Directory is an independent directory and does not sell, resell, or broker any listed tool. Any dispute between a buyer and a vendor regarding a tool's functionality, pricing, performance, or service is solely between the buyer and the vendor. The vendor agrees to indemnify and hold harmless CX Tools Directory from any claims arising from or related to a buyer's use of, or experience with, the vendor's tool.
No partnership: A listing on CX Tools Directory, whether paid or complimentary, does not create a partnership, joint venture, agency, employer-employee, or reseller relationship between CX Tools Directory and the vendor. The vendor is not a partner, affiliate, or representative of CX Tools Directory.
We may review, format, reject, suspend, or remove any listing or account at our discretion, including for inaccurate content, violation of these Terms, or non-payment. You may request deletion of your account at any time by contacting us.
Editorial listings are added at our discretion, free of charge, and cannot be requested. Listings requested by vendors, paid upgrades and services, and their prices, are shown on our advertising page and are quoted in euros (EUR), exclusive of any applicable taxes unless stated otherwise.
Invoices are issued for each purchase and payment is due as stated on the invoice. We may suspend or remove a listing if payment is not received. Prices may change with notice; changes do not affect a period already paid for.
Except where required by applicable law, fees already paid are non-refundable, and partial billing periods are not refunded on cancellation.
Complimentary (free) listings: From time to time, CX Tools Directory may publish listings at no charge, at its sole discretion. Complimentary listings are provided as a goodwill service and may be modified, repositioned, or removed by CX Tools Directory at any time and for any reason, including but not limited to inaccuracy of information, changes to the tool's availability or positioning, or concerns about the tool's conduct or practices. No fee is owed for the creation or removal of a complimentary listing, and its existence does not create any obligation on the part of CX Tools Directory to maintain it.
These terms and conditions are governed by and construed in accordance with the laws of Germany and you irrevocably submit to the exclusive jurisdiction of the courts in Berlin, Germany.
